1. Kontorsservice

1.1 Entreprenörskyrkan erbjuder härmed Kunden kontorsservice i ”Slottet”, Slottsbacken 8, Stockholm.

1.2 Kunden får därmed tillgång till: - Dedikerat skrivbord och kontorsstol. - Allmänna utrymmen i form av pentry (med kaffe/te/mjölk), toaletter och cafédel. - Tillgång till mindre mötesrum och telefonrum. - Möjlighet att boka konferensrum enligt vid var tid gällande prislista. - Communityn och alla gemensamma ytor

1.3 Entreprenörskyrkan hyr enligt ett hyresavtal en lokal (”Lokalen”) i den av bolaget Dina Palaisbacken AB, org.nr. 556610-8980 (”Fastighetsägaren”), ägda fastigheten Aeolus 1-3 belägen på Slottsbacken 8 i Stockholm (”Fastigheten”). Detta hyresavtal har Kunden kännedom om.

1.4 El och internet ingår enbart för normal användning. Vid nyttjande av el och internet som överstiger normal användning ska Kunden inhämta Entreprenörskyrkans skriftliga godkännande och Entreprenörskyrkan förbehåller sig rätten till extra debitering på kommande kvartals kundfaktura, alternativt avstängning, om övriga kunders internetanvändning påverkas.

1.5 Övrig möblering såsom förvaring ansvarar Kunden själv för.

1.6 Entreprenörskyrkan ansvarar inte för egendom tillhörig Kunden som denne förvarar i Lokalen.

1.7 Kontorsserviceplatsen hyrs ut i befintligt skick. Kunden har beretts tillfälle att innan tillträdet besiktiga Lokalen där kontorsserviceplatsen är belägen samt övriga ytor som ingår i servicen, varför Kunden ej har rätt att framställa anspråk avseende Lokalens skick.

1.8 I enlighet med Entreprenörskyrkans verksamhet, speciellt gällande evenemang, kan det förekomma störningar som påverkar Kundens dagliga verksamhet vilket Kunden genom undertecknandet av detta avtal accepterar.

1.9 Kunden får inte genom detta avtal någon rätt att nyttja andra delar av Fastigheten än vad som framgår av detta avtal.

1.10 Fastighetsägaren kommer under 2015-2016 genomföra en fasadrenovering, detta är kunden medveten om.

2. Avgift

2.1 Avgiften faktureras kvartalsvis i förskott och ska vara Entreprenörskyrkan till handa senast den 20:e dagen i var månad som föregår kvartalet genom insättning på Entreprenörskyrkans bankgiro 680-1898. För internationella kunder: IBAN SE3650000000052671089732 BIC ESSESESS.

2.2 Avgiften är femtusenfemhundra (5500) kronor, exklusive mervärdesskatt, per månad (66 000)/år ex. moms) per plats dedikerat skrivbord. På avgiften utgår enligt lag gällande mervärdesskatt. Vid dröjsmål med betalningen av avgiften är Kunden skyldig att betala dröjsmålsränta och inkassokostnader enligt gällande lag.

3. Vård och Underhåll

3.1 Kunden skall väl vårda lokalen och inredningen och denne får inte, utan Entreprenörskyrkans skriftliga tillstånd, måla, tapetsera eller utföra andra ändringsarbeten i Lokalen. Kunden har inte rätt till nedsättning av avgiften under den tid som Fastighetsägaren eller Entreprenörskyrkan utför underhåll eller reparerar Lokalen eller Fastigheten.

4. Kundens Verksamhet

4.1 Om Kunden i Lokalen önskar bedriva annan än i den vid inflytt avsedda och angivna verksamhet ska Entreprenörskyrkans skriftliga godkännande inhämtas. Om sådant godkännande inte ges och Kunden bedriver verksamhet som kraftigt avviker från beskrivningen, vilket kan leda till skada för Entreprenörskyrkan eller någon av dess andra Kunder har Entreprenörskyrkan rätt att säga upp detta avtal med omedelbar verkan.

4.2 Kunden är medveten om att detta avtals giltighet är avhängigt att Kundens verksamhet inte står i strid med vad som avtalats mellan Entreprenörskyrkan och Fastighetsägaren avseende ändamålet med Lokalens användning.

4.3 Kundens verksamhet i Lokalen får inte strida mot någon vid var tid gällande lagstiftning eller myndighets föreskrift.

4.4 Det åligger Kunden att på eget ansvar och på egen bekostnad svara för relevanta försäkringar för dennes verksamhet och personliga ägodelar. Vidare bär Kunden ansvaret för de eventuella åtgärder som försäkringsbolag eller byggnadsnämnd, miljö- och hälsoskyddsnämnd, brandmyndighet eller annan myndighet kan komma att kräva för Lokalens nyttjande, vilka är hänförliga till Kundens verksamhet. Kunden skall informera Entreprenörskyrkan, samt inhämta Entreprenörskyrkans skriftliga godkännande, innan angivna åtgärder vidtas.

4.5 Kunden samtycker till att Entreprenörskyrkan använder Kundens firmanamn, och kunduppgifter i övrigt, som lämnats i samband med ingåendet av detta avtal, i marknadsföringssammanhang, vid analys av verksamheten samt i intern och extern kommunikation i övrigt.

5. Avtalstid och Uppsägning m.m.

5.1 Avtalet löper med tre (3) kalendermånaders ömsesidig uppsägningstid, vilken räknas från och med månaden efter den månad uppsägningen skedde (Ex. om uppsägning sker i mars, sker utflyttning per den siste juni). Uppsägning ska ske skriftligen eller via mail.

5.2 För extra tjänster, såsom konferenspaket och tillgång till gym är det en kalendermånads uppsägningstid.

5.3 För det fall Entreprenörskyrkans hyresavtal med Fastighetsägaren skulle komma att upphöra, skall även detta avtal upphöra att gälla senast samtidigt därmed. Entreprenörskyrkan ska i detta fall meddela Kunden om uppsägningen utan dröjsmål.

5.4 I samband med avtalets upphörande skall Kunden tömma förvaringsutrymmen samt i övrigt tillse att dennes egendom, material m.m. har avlägsnats från Entreprenörskyrkans lokaler. Har Kunden inte tömt förvaringsutrymmen eller låtit eftersända posten har Entreprenörskyrkan inget ansvar för Kundens tillhörigheter och Kunden kommer att faktureras kostnaden för att föra bort kvarlämnad egendom.

6. Ändringar och Överlåtelse

6.1 Ändringar i och tillägg till avtalet skall för att vara bindande avtalas skriftligen. Kunden får inte utan Entreprenörskyrkan skriftliga godkännande överlåta avtalet, eller rättigheter och skyldigheter som regleras däri. Upplåtelse i andra hand av hela eller delar av avtalet får inte ske utan Entreprenörskyrkans skriftliga godkännande.

7. Sekretess

7.1 Parterna förbinder sig att inte, utan begränsning i tiden, avslöja konfidentiell information, såsom företagshemligheter, portkod och företagsspecifik information i övrigt, som denne, dess anställda eller representanter, fått del av genom detta avtal eller under sin vistelse i Lokalen. Kunden ansvarar således för att dennes anställda, representanter eller andra som denne släppt in i Lokalen iakttar denna sekretessförbindelse. Kunden är särskilt medveten om att många företag kommer att vistas i Lokalen, och att dessa hanterar information av känslig natur som ej är avsedd att komma till allmänhetens kännedom.

7.2 Vid brott mot denna klausul ska den som avslöjat konfidentiell information ersätta den person som lidit skada av avslöjandet.

8. Fullständig Reglering

8.1 Detta avtal med dess bilagor, samt vid var tid för Entreprenörskyrkan gällande kundpolicy, utgör parternas fullständiga reglering av alla frågor som avtalet berör. Alla skriftliga eller muntliga åtaganden som kan ha förekommit under förhandlingarna ersätts av innehållet i detta hyresavtal med bilagor samt kundpolicy.

8.2 Genom undertecknandet av detta avtal åtar sig Kunden att från och med tillträdet följa Entreprenörskyrkans kundpolicy avseende användningen av Lokalen, hantering av nycklar m.m.

9. Påföljder vid avtalsbrott

9.1 Om Kunden inte uppfyller sina åtaganden enligt detta avtal eller i övrigt agerat på ett sådant sätt att det kan skada Entreprenörskyrkans goda rykte eller i omfattande mån besvärat övriga kunder, har Entreprenörskyrkan rätt att säga upp detta avtal med omedelbar verkan. Vid mindre allvarliga fall kan Entreprenörskyrkan välja att lämna en skriftlig varning till Kunden. Om Kunden inte har åstadkommit en för Entreprenörskyrkan godtagbar rättelse inom viss angiven tid efter det datum varningen var Kunden tillhanda, har Entreprenörskyrkan rätt till, men ej skyldighet att, säga upp avtalet med omedelbar verkan.

9.2 Om Kunden förorsakar Entreprenörskyrkan eller någon annan av Entreprenörskyrkans kunder skada ska Kunden ersätta denna skada.

9.3 Kunden svarar fullt ut för samtliga personer som de bjuder in till att nyttja de utrymmen som Entreprenörskyrkan tillhandahåller.

9.4 Part ansvarar inte för ersättning eller fullgörelse av förpliktelse enligt detta avtal om fullgörandet av förpliktelsen förhindras eller avsevärt försvåras genom arbetskonflikt såsom strejk och varje annan omständighet som part inte kan råda över såsom exempelvis eldsvåda, krig, översvämning, orkan, valutarestriktioner etc. (s.k. force majeure). Vid inträffandet av sådant förhållande ska part utan oskäligt uppehåll meddela den andra parten härom. Rätt till uppsägning av detta avtal föreligger för part om ansvarsbefrielsen pågår under minst 30 dagar i följd.

10. Tvist

10.1 Tvist i anledning av detta avtal ska slutligt avgöras i allmän domstol med Stockholms tingsrätt som första instans.

1. Office Services

1.1 Entreprenörskyrkan has decided to offer the customer office services in “The Castle”, Slottsbacken 8.

1.2 The customer is hereby granted access to: - A dedicated desk and office chair - Access to general areas in the form of kitchenettes (with coffee/tea/milk), “café” and restrooms. - Access to smaller conference room and telephone booth. - Possibility to book conference rooms according to current price list. - The community and all common areas.

1.3 Entreprenörskyrkan rents a premise from Dina Palaisbacken AB with company registration no. 556610-8980; hereafter also known as ”the Owner”. The Customer is aware of the agreement between the Owner and Entreprenörskyrkan.

1.4 Electricity and Internet is included only for normal use. If using electricity or internet more that what could be considered normal the customer need to get written approval from Entreprenörskyrkan and the Customer might be charged for this on the next invoice. If other clients’ internet use is disturbed by the extra use, Entreprenörskyrkan reserves the right to cut the Customer’s internet access.

1.5 Furnishing other than desk and chair the client needs to provide itself, only if space is available and always after approval from Entreprenörskyrkan.

1.6 Entreprenörskyrkan cannot take any responsibility for property that the Customer keeps at the “Castle”.

1.7 The facilities are provided as-is. The Customer has been given opportunity to inspect the facilities and any connected premises that are included in the office services.

1.8 Due to Entreprenörskyrkans daily business, especially concerning the hosting of events and event management, the Customer may experience disruptions to their own business which the Customer hereby accepts.

1.9 The Customer does not through this agreement gain the right to access any parts of the premises other than those specifically discussed in this agreement, unless an amendment or separate agreement is made with regards to additional rights.

2. Fee

2.1 The fee shall be paid per quarter and in advance, latest the 20th day of the month preceding the quarter by transferring funds to Entreprenörskyrkan giro account: 680-1898. For international clients: IBAN SE3650000000052671089732 BIC ESSESESS.

2.2 The fee is five thousand five hundred (5500) Swedish Kronors (SEK) not including any applicable taxes per month (66 000 SEK/anum ex. Taxes) and per dedicated desk. If the fee is paid too late according to paragraph 2.1 above, the customer is required to pay interest on the overdue payment as well as compensation for debt recovery costs, in accordance with Swedish law.

3. Care of the Facilities

3.1 The Customer shall care for the facilities and the decorations/items with in and may not, without Entreprenörskyrkans express written permission, paint or undertake any other activity that may change the premises. The Customer does not have any right to compensation at times when the premises is being repaired, renovated, restored or otherwise worked on even if this is severely disruptive for the Customer.

4. The Customers Activities

4.1 the Customer is found to be performing other activities or works, than agreed upon when moving in, Entreprenörskyrkan has the right to cancel this agreement with immediate effect and without notice.

4.2 The Customer is aware that this agreement is based on the validity of the agreement between Entreprenörskyrkan and the Owner in accordance with paragraph 1.2. 4.3 The Customers activities in the facilities may not be in conflict with any Swedish law or relevant governing body’s regulations.

4.4 The Customer is solely responsible and must bear the cost of any actions deemed necessary by insurance companies or relevant governing bodies as a prerequisite for the Customer to perform the above mentioned activities or conduct their business while accessing Entreprenörskyrkan’s facilities. The Customer must inform and receive written permission from Entreprenörskyrkan before any such actions are taken. 4.5 The Customer is solely responsible and must bear the cost of insuring their property and personal belongings that are kept in the facilities.

4.6 The Customer hereby accepts that Entreprenörskyrkan will use their company name, client details and other information that has been given when this agreement was entered into for purposes of marketing, analysing the business and other external communication.

5. Agreement Validity & Cancellation

5.1 This agreement may be cancelled with three (3) calendar month’s written notice from either party. It is Notice must be given in writing latest the 5th of any month. It is counted from the calendar month following the month where notice is gicen . (e.g. if the agreement is cancelled in January then it will remain valid up to and including the last day of April the same year).

5.2 For extra services such as lockers or access to the gym the cancellation time is one calendar month.

5.3 In the event that Entreprenörskyrkan’s agreement with the Owner should cease to be valid, this agreement shall also cease to be valid.

5.4 In the event that this agreement should become invalid or be cancelled, the Customer must return all property belonging to Entreprenörskyrkan and empty any storage and make sure that any of the Customer’s property is removed from the facilities. If the Customer has not emptied their storage, removed their property, or redirected any post, Entreprenörskyrkan takes no responsibility for any such property and may bill the Customer any cost incurred when removing said property.

6. Changes, Amendments and Conveyance

6.1 Any changes, amendments, attachments or conveyances of and/or to this agreement must be accepted, in writing, by both Entreprenörskyrkan and the Customer.

7. Extent of the Agreement

7.1 This agreement, and customer policy, shall supersede any other written or spoken agreement between the Parties during the negotiations regarding any and all of the issues mentioned here.

8. Breach of Contract

8.1 If the Customer does not fulfil their part of this agreement, or acts in a way that can damage Entreprenörskyrkan’s brand and/or good reputation, Entreprenörskyrkan has the right to cancel this agreement with immediate effect and without notice. Entreprenörskyrkan can also choose to provide the Customer with a written warning. If the Customer has not achieved what Entreprenörskyrkan deems to be a sufficient improvement or correction with a time limit included in the notice, Entreprenörskyrkan has the right to cancel this agreement with immediate effect and without notice.

8.2 If the Customer causes any harm to Entreprenörskyrkan or its property; or causes any harm to Entreprenörskyrkans associates/partners/customers or their property, then the Customer shall provide adequate compensation or replacement.

8.3 By signing this agreement the Customer hereby agrees to follow Entreprenörskyrkan’s customer policy regarding use of the premises, keys etc.

8.4 The Customer is solely responsible for every person that they bring into the facilities that Entreprenörskyrkan provides access to.

9. Privacy

9.1 The Customer is solely responsible for any and all persons that they bring into the facilities that Entreprenörskyrkan provides access to.

9.2 The parties hereby agree not to, without any restriction in time, reveal company secrets, door codes and any other company specific information that he/she has learnt through this agreement or by being in these facilities. The client is responsible that his/her employees or representatives, or any other persons that he/she let into the follows this privacy regulation. The client is hereby aware that many different companies share the same office space and that these companies will handle information that is private.

10. Dispute

10.1 Any dispute regardning this agreement shall finally be settled by general court with Stockholm district court (Stockholms Tingsrätt).

Cobot Terms and Conditions

Cobot is the web platform used by The Castle "Slottet" Slottsbacken 8 to provide this website.

1. General

1.1. Upstream-Agile GmbH, Adalbertstraße 7-8, 10999 Berlin, registered with the commercial register of the local court (Amtsgericht) of Charlottenburg under HRB 110149 B (“upstream”) provides an application to manage coworking spaces via its website www.cobot.me (the “Service” or “Services” or “Cobot”) as further specified on www.cobot.me (the “Website”).

1.2. All contractual relationships between upstream and any customer of upstream using Cobot (“Customer”, together with upstream the “Parties”, each a “Party”) shall be governed by these terms of service (“Terms of Service”). By registering on the Website or using Cobot, the Customer agrees to be bound by these Terms of Service.

1.3. Standard business conditions and/or general terms and conditions of the Customer do not apply, regardless of whether or not upstream has expressly objected to them in a particular case.

2. Registration

2.1. Any use of Cobot requires prior registration on the Website by creating an account (“Account”) and the acceptance of these Terms of Service. Customer must provide accurate and complete information and keep the Account information updated.

2.2. Customer is solely responsible for the activity that occurs on their Account. Customer shall keep their login data (password) confidential and prevent any unauthorized use by third parties. He shall immediately inform upstream if there are indications that any third party is misusing their account.

3. Use of Services

3.1. Offers published by upstream on the Website are non-binding.

3.2. The Customer may use Cobot for a trial run after registering. The Customer may only register for a trial run once. If a Customer registers for more than one trial run, upstream will have the right to delete these additional Accounts.

3.3. By registering on the Website according to section 2 hereof and subscribing to a subscription plan, the Customer makes a binding offer to use the respective Services. The offer shall be deemed to be accepted by upstream by making available the respective Service. Upon the acceptance of a subscription a contract governed by these Terms of Service between the Customer and upstream is concluded (the “Contract”).

4. Prices and Payment

4.1. The price for using Cobot depends on the number of members which are using the coworking space of the respective Customer (each a “Member”).

4.2. The Customer will be required to provide upstream with billing and account information for credit card, debit or other payment systems, such as PayPal, (each a “Payment Source”) for which the Customer is authorized to approve charges to allow upstream to collect payment from the Customer for their subscription plan. The Customer authorizes upstream to automatically and immediately bill the Payment Source when payments for subscription plans are due. The Customer shall only be allowed to raise an objection to a bill/deduction within eighty days starting from the day the deduction was made. If the objection was not raised, the deduction is deemed accepted by the Customer.

4.3. The billing of a subscription plan is made on a pre-paid basis. The payment source will be billed within five bank working days of the beginning of the chosen subscription period and then on a monthly or, as applicable, annual basis.

4.4. The prices stated on the Website are net prices excluding VAT. All other charges in connection with the use of the Services shall be borne by the Customer.

5. Contract Period, Termination of Contract, Cancellation of account

5.1. The Contract runs for an indefinite time and will remain in effect until terminated by one of the Parties in accordance with the Terms of Service.

5.2. The Parties may terminate this Contract for any or no reason at their convenience to the end of each month.

5.3. The Customer having used the trial run may unsubscribe from Cobot anytime without giving reason and without notice by using the respective button in their account.

5.4. The right of termination for cause and without notice remains unaffected for both Parties. A good cause for termination shall include, but shall not be limited to, any of the following events:

5.4.1. the Customer fails to comply with any applicable legal provisions;

5.4.2. a serious breach of the Customer of obligations arising from these Terms of Service by the Customer;

5.4.3. an attempt a denial of service attack on any of the Services by the Customer or any attempt to hack or break any security mechanism on any of the Services;

5.4.4. the Customer fails to pay the fees for the ordered Services;

5.4.5. a proceeding to wind-up the Customer or similar is brought against, or by the Customer (especially including insolvency and creditor protection scenarios and similar).

5.5. Any termination declaration shall be made via the “termination” button within the Account.

5.6. In the event of termination,

5.6.1. the Account of the Customer will be disabled and the Customer may not be granted access to their Account or any files or other content contained in the Account although residual copies of information may remain in upstream’s system;

5.6.2. any rights of use granted to Customer for using Cobot shall expire immediately and Customer shall cease to use the Services;

5.6.3. upstream will not refund any prepaid fees to Customer.

5.7. After a period of inactivity, whereby a user fails to log in to an Account for a period of nine months, upstream reserves the right to disable or terminate the Account. If an Account has been deactivated for inactivity, the subdomain associated with that Account may be given to another Customer without further notice.

6. Intellectual Property Rights

6.1. Subject to these Terms of Service, and for the duration of the Contract, upstream grants the Customer a non-exclusive license to use the Services, which non-exclusive license is hereby accepted by Customer (the “License”). The License shall be granted as non-exclusive, non-assignable, non- transferable, with no right to sub-license, worldwide limited right to use the Services. Customer is responsible for its staff’s compliance with the Terms of Service.

6.2. The scope of the License shall be subject to and limited by the number of Members as agreed between upstream and the Customer.

6.3. upstream does not claim any ownership in any of the content uploaded, transmitted or stored by the Customer in its Account. upstream will not use any of such content for any purpose except to provide the Customer with the Services.

7. Proper use

7.1. The Customer agrees that they are responsible for their own communications and for any consequences thereof. The Customer shall act according to the destined functions of the Website and Services. Any inappropriate or illegal use, manipulation, or change of the Website and Services is prohibited. In particular, the Customer shall, shall not agree to, and shall not authorize or encourage any third party to:

7.1.1. use the Service to upload, transmit or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains malware or is otherwise objectionable as reasonably determined by upstream;

7.1.2. upload, transmit or otherwise distribute content that infringes upon another party’s intellectual property rights or other proprietary, contractual or fiduciary rights or obligations;

7.1.3. prevent others from using the Service; or

7.1.4. use the Service for any fraudulent or inappropriate purpose.

7.2. upstream reserves the right to delete any infringing content according to this section 7, terminate the Services and/or suspend Accounts of a Customer that is violating any of these Terms of Service, in particular this section 7.

8. Representations and Warranties

The Customer represents and warrants that (i) all information provided by them to upstream to participate in the Services is correct and current; and (ii) the Customer has all necessary right, power and authority to enter into the Contract and to perform the acts required of Customer hereunder.

9. Indemnification

9.1. The Customer will indemnify, defend, and hold harmless upstream and its officers, directors, employees for any and all claims, suits, litigation, causes of action, losses, damages, expenses, costs (including court costs and attorneys’ fees) and liabilities (“Losses”) that arise out of, or in connection with (i) the Customer’s use of the Website and/or Services; (ii) any breach by the Customer of any warranty defined in section 8; (iii) any claim that the Customer’s content distributed via the Services caused damage to a third party.

9.2. In cases of an aforementioned enforcement of claims by third parties, the Customer will provide upstream with all their information that is needed for the examination of the claim and for the defense against it. The Customer provides the information immediately, truthfully, and completely.

9.3. The regulation of liability of the Customer or their obligation of indemnification shall apply to the same extent in the event of an act of a Member of the Customer.

10. Limitation of Liability

10.1. upstream’s liability for damages caused by or related to the exercise of rights and obligations under this Agreement shall be excluded. The limitation of liability shall not cover

10.1.1. damage from injury to life, body or health caused by upstream;

10.1.2. damages caused by upstream that are a result of willful intent or gross negligence;

10.1.3. damages caused by upstream as a result of slight negligence in the event of upstream’s breach of an essential contractual obligation which is indispensable for the duly execution of the contract and thereby jeopardizes the achievement of the contract purpose and such damage is typically foreseeable at the time of the infringement;

10.1.4. upstream’s liability in the event of the assumption of a warranty if an obligation infringement covered thereby triggers upstream’s liability.

10.2. Liability under the Product Liability Act (Produkthaftungsgesetz) shall remain unaffected.

10.3. The limitations and/or restrictions of upstream’s liability shall also apply to the personal liability of its legal representatives and vicarious agents.

10.4. upstream will not be liable hereunder by reasons of any failure to timely perform its services due to an event beyond its reasonable control, including acts of God.

11. Use for reference

The Customer agrees that upstream may use information of the Customer provided by them (i.e. the name/trademark) for marketing purposes as reference on the Website. The Customer may withdraw such consent by writing an email to upstream to support@cobot.me.

12. Privacy Policy

upstream provides the Customer with information on how data is collected and processed in Upstream’s Privacy Policy.

13. Miscellaneous

13.1. These Terms of Service shall be governed by the laws of the Federal Republic of Germany excluding the Convention on Contracts for the International Sale of Goods (CISG) and the conflict of laws provisions. Both Parties submit to the exclusive jurisdiction of the courts of Berlin.

13.2. Should any provision of this Terms of Service be or become invalid, ineffective or unenforceable as a whole or in part, the validity, effectiveness and enforceability of the remaining provisions shall not be affected thereby. Any such invalid, ineffective or unenforceable provisions shall be deemed replaced by such valid, effective and enforceable provision as come closest to the economic intent and purpose as of such invalid, ineffective or unenforceable provisions as regard subject-matter, amount, time, place and extent. The aforesaid shall apply mutatis mutandis to any gap in these Terms of Service if any court has confirmed such proceeding.

13.3. upstream reserves the right to change these Terms of Service at any time without indicating the reasons. upstream will notify Customer of the changed Terms of Service on the Website or via email no later than two (2) weeks before the refined terms will take effect. In case Customer objects the new Terms of Service they may terminate the Contract with a period of two (2) weeks upon receipt of the information about the changes by upstream via the “termination” button within the Account.
